Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the VietraX platform available at vietrax.com and its related services (the "Platform"). The Platform is owned and operated by VIET BAC Company Limited, headquartered in Ho Chi Minh City, Vietnam ("VietraX", "we", "us", or "our"). By creating an account, accessing, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Definitions
"User" means any person or entity that accesses the Platform. "Supplier" means a User offering goods or services. "Buyer" means a User seeking to procure goods or services. "Content" means any text, data, documents, listings, images, or other material submitted to or displayed on the Platform. "Services" means the trade-distribution, marketplace, and digital services made available through the Platform.
3. Eligibility & Account Registration
The Platform is intended for business users and authorized representatives of organizations engaged in cross-border B2B and B2G trade. To use most features you must register an account using a valid email address and a password. You must be at least 16 years old and legally capable of entering into binding contracts. You agree to provide accurate, current, and complete information during registration and to keep it up to date. VietraX may verify company information, products, and supporting documents at any time.
4. Accounts, Roles & Responsibilities
Accounts may be assigned roles (for example, Supplier, Buyer, or administrative roles) that determine the features available to you. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Passwords are stored only in hashed form (using bcrypt), and sessions are maintained through secure, HTTP-only cookies. You must notify us promptly at info@vietrax.com if you suspect any unauthorized use of your account.
5. Acceptable Use & Prohibited Conduct
You agree not to use the Platform to: violate any applicable law, regulation, or export or sanctions control; post false, misleading, fraudulent, or infringing Content; upload malware or attempt to gain unauthorized access to the Platform or other Users' data; scrape, harvest, or misuse data; impersonate another person or entity; or interfere with the normal operation of the Platform. You are solely responsible for ensuring that your trade activity complies with the laws of all relevant jurisdictions.
6. Trade & Digital Services
VietraX operates as an intermediary and marketplace that connects Suppliers and Buyers across Vietnam, Russia, and international markets, and provides related digital services. Unless we expressly state otherwise in writing for a specific transaction, VietraX is not a party to any contract of sale, purchase, or supply formed between Users. We do not guarantee the quality, safety, legality, or availability of any goods or services, nor the ability of any User to complete a transaction. Users are responsible for conducting their own due diligence and for negotiating and performing their own contracts.
7. Intellectual Property
The Platform, including its software, design, trademarks, and original content, is owned by VIET BAC Company Limited or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose. You retain ownership of Content you submit, but grant VietraX a worldwide, non-exclusive license to host, display, and process that Content as necessary to operate and promote the Platform.
8. Third-Party Content & Links
The Platform may display Content provided by other Users and may contain links to third-party websites or services. VietraX does not endorse and is not responsible for third-party Content, websites, or services, and your use of them is at your own risk and subject to their own terms.
9. Disclaimers & Limitation of Liability
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, VietraX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Platform or from transactions between Users.
10. Indemnification
You agree to indemnify and hold harmless VIET BAC Company Limited, its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your use of the Platform, your Content, your transactions with other Users, or your breach of these Terms or of any applicable law.
11. Suspension & Termination
We may suspend or terminate your access to the Platform, in whole or in part, at our discretion, including where we reasonably believe you have violated these Terms, created risk or legal exposure, or engaged in fraudulent or unlawful conduct. You may stop using the Platform and request account closure at any time by contacting info@vietrax.com. Provisions that by their nature should survive termination will remain in effect.
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law principles. The parties will seek to resolve any dispute amicably through good-faith negotiation. Any dispute that cannot be resolved informally shall be submitted to the competent courts of Ho Chi Minh City, Vietnam, unless the parties agree in writing to arbitration.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Platform or to legal requirements. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify Users. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

Privacy Policy
1. What Data We Collect
We collect account data that you provide when you register and use the Platform, such as your name, email address, account role, and country or region. We also collect usage data generated as you interact with the Platform (for example, pages viewed, actions taken, approximate location derived from IP address, and device or browser information) and data stored through cookies and session mechanisms described below.
2. How We Use Your Data
We use your data to create and manage your account and role, authenticate you, provide and improve the Platform and its trade and digital services, verify company information and documents, communicate with you, maintain security and prevent fraud or abuse, and comply with legal obligations.
3. Legal Bases
Where applicable data-protection law requires a legal basis, we rely on: performance of a contract with you (to provide the Platform); our legitimate interests (to operate, secure, and improve the Platform and prevent misuse); your consent (for optional features, where requested); and compliance with legal obligations.
4. Cookies & Sessions
We use an essential, HTTP-only session cookie named vx_session to keep you signed in and secure your session. This cookie is necessary for the Platform to function and cannot be disabled while using authenticated features. Separately, the Platform includes a client-side auto-translation feature: for languages that do not have a prebuilt dictionary, visible page text may be sent to a third-party translation service (MyMemory) to generate the translation. If you prefer not to use this feature, avoid selecting a language that relies on live translation.
5. Data Sharing
We do not sell your personal data. We may share data with service providers who process it on our behalf (such as hosting and, for the translation feature, the MyMemory translation service), with other Users only to the extent necessary to facilitate a transaction you initiate, and with authorities or third parties where required by law, to enforce our Terms, or to protect the rights, safety, and security of our Users and the Platform.
6. International Transfers
VietraX connects markets across Vietnam, Russia, and other countries. As a result, your data may be transferred to, stored in, or processed in jurisdictions outside your own, including Vietnam and Russia, which may have different data-protection laws. Where required, we take reasonable steps to ensure such transfers are protected by appropriate safeguards.
7. Data Retention
We retain your data for as long as your account is active and as needed to provide the Platform, and thereafter for as long as necessary to comply with legal obligations, resolve disputes, and enforce our agreements. When data is no longer needed, we take reasonable steps to delete or anonymize it.
8. Security
We use technical and organizational measures to protect your data. Passwords are stored only as bcrypt hashes, never in plain text, and data in transit is protected using TLS encryption. No method of transmission or storage is completely secure, so we cannot guarantee absolute security, but we work to protect your data against unauthorized access, alteration, and loss.
9. Your Rights
Depending on your jurisdiction, you may have the right to access, correct, or delete your personal data, and to object to or restrict certain processing. To exercise these rights, email us at info@vietrax.com. We will respond within the timeframe required by applicable law and may need to verify your identity before acting on a request.
10. Children
The Platform is a business service and is not directed at children. We do not knowingly collect personal data from individuals under the age of 16. If you believe a minor has provided us with personal data, please contact us so we can remove it.
11. Changes to This Policy
We may update this Privacy Policy from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify Users. Your continued use of the Platform after changes take effect indicates your acceptance of the updated Policy.
